Capstone Energy+ was originally organized in 1988 as Capstone Turbine Corporation and reincorporated as a Delaware corporation on June 22, 2000.

Capstone Energy+, Inc. traces its public-company history to Capstone Turbine Corporation, the predecessor company, which became a public company on June 29, 2000 and traded on Nasdaq under the ticker symbol CPST. Capstone Turbine Corporation changed its name to Capstone Green Energy Corporation effective April 22, 2021, and its ticker symbol changed to CGRN.

In connection with the Chapter 11 restructuring, the predecessor company’s Nasdaq trading was suspended effective October 5, 2023, and formally delisted effective October 23, 2023. The Chapter 11 plan became effective on December 7, 2023. On that date, Capstone Green Energy Corporation was renamed Capstone Distributor Support Services Corporation and became a privately held company, while its subsidiary, Capstone Turbine International, Inc., was renamed Capstone Green Energy Holdings, Inc. and became the successor to the predecessor company for SEC reporting purposes.

Accordingly, while the Capstone business has a public-company history dating back to June 29, 2000, the current legal entity now named Capstone Energy+, Inc. became the public successor company on December 7, 2023. On the effective date of the reorganization, shares of the successor company’s common stock were issued pro rata to holders of the predecessor company’s common stock.

The successor company became current in its SEC periodic filings on October 17, 2024, and later received approval for OTC trading on January 2, 2025. Capstone Green Energy Holdings, Inc. changed its corporate name to Capstone Energy+, Inc. effective April 30, 2026, and its common stock continues to trade under the ticker symbol CGEH on the OTCQX Best Market.
